Announcement Regarding the Capital Increase of Karel Elektronik

At its meeting held on September 11, 2023, the Board of Directors of Öncü Girişim Sermayesi Yatırım Ortaklığı A.Ş. (Öncü VCIT), a direct subsidiary of our company, made the following resolutions, among other matters:
- Pursuant to the resolution of the Board of Directors of Karel Elektronik Sanayi ve Ticaret A.Ş. (Karel Elektronik), in which Öncü VCIT has 40% shareholding, dated September 11, 2023, Öncü VCIT shall fully exercise its pre-emptive rights in Karel Elektronik's capital increase of 100% to TRY 805,885,530.35 in cash and without restricting rights to purchase new shares.
- Öncü VCIT shall commit to Karel Elektronik to purchase any remaining shares after the existing shareholders exercise their rights to purchase new shares, in accordance with the related regulations and methods.
- The capital advance of TRY 161,177,105.25 which was transferred by Öncü VCIT to Karel Elektronik to be used in company operations, shall be utilized in the abovementioned capital increase. The debt arising from the capital increase shall also be netted off with this capital advance.
