Outcome of the Litigation Proceedings

In the last hearing of the Lawsuit held on March 9, 2016 (today) of the lawsuit filed with the request to cancel the Merger Resolution which had been approved upon discussion as the 5th agenda item during the 06.08.2014 Extraordinary General Assembly Meeting of Doğan Yayın Holding A.Ş., which had been merged under our Company through being “taken over the transfer of”, as a whole, with all its assets and liabilities, and which had ceased via dissolution without liquidation; the claims of the Adversaries (Claimants), some of whom had ceased to be shareholders of the Doğan Yayın Holding A.Ş. by exercising their “exit rights” “during the period for exercising the exit rights”, and some of whom were understood not to have attended the abovementioned Extraordinary General Assembly Meeting have been rejected by the Litigation Court.
